This course provides a deep dive into the fiduciary duties of directors and controlling shareholders in the context of corporate control transactions and freeze-out mechanisms. It examines how EU and national laws regulate conflicts of interest, minority shareholder protection, and the fairness obligations that arise during mergers, takeovers, and corporate restructurings.

Participants will gain practical insight into directors’ duties of loyalty, care, and independence, as well as the legal and procedural framework governing squeeze-outs, freeze-outs, and minority exits. The course also discusses recent case law, enforcement trends, and best practices for ensuring board accountability and fair treatment of all shareholders.
